1. The agreement

These terms are an agreement between Microsive Private Limited ("Microsive", "we") and the agency or company that subscribes to Microsive ATS ("you"). By creating an account or using the service, you accept them.

2. The service

Microsive ATS is a hosted, multi-tenant applicant tracking system with AI screening, AI-conducted interviews, WhatsApp Business messaging, invoicing, and HRMS features. We may improve or modify features over time; we will not materially reduce the core service you pay for during a paid term without notice.

3. Accounts and acceptable use

• You are responsible for the users you create and what they do in your account.
• Keep credentials confidential; notify us of any suspected breach.
• Do not use the service to send spam, harass candidates, upload unlawful content, probe or disrupt the infrastructure, or resell access without a written agreement.
• You must comply with applicable law when messaging candidates, including WhatsApp Business platform policies for accounts you connect.

4. Your data

You own the recruitment data you put into the system. You grant us the limited rights needed to host and process it to provide the service, as described in the Privacy Policy. You are responsible for having the right to upload and process the candidate data you bring in.

5. AI features

AI outputs (match scores, screening ranks, interview evaluations, generated job descriptions) are assistive and probabilistic. They can be inaccurate or incomplete. You agree not to treat them as the sole basis for a hiring decision, and you remain responsible for decisions made with the product.

6. Fees and payment

• Plans are priced in INR and billed monthly, per the published pricing or your order.
• Fees are exclusive of GST, which is added where applicable.
• Non-payment after reasonable notice can lead to suspension and, if unresolved, termination of the account.

7. Term and termination

Subscriptions renew monthly until cancelled. You can cancel any time, effective at the end of the current billing period. On termination you may request an export of your data within 30 days, after which we delete it in the normal course.

8. Availability and support

We aim to keep the service available around the clock but do not promise uninterrupted operation. Planned maintenance is announced in advance where practical. Support is provided over email and the in-app support channel.

9. Warranties and liability

The service is provided "as is". To the maximum extent permitted by law, our total liability arising out of the service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential losses, or for decisions made in reliance on AI outputs.

10. Governing law

These terms are governed by the laws of India. Courts at Jaipur, Rajasthan have exclusive jurisdiction.
